Problem
What causes Confirmation statement (CS01) to be rejected from Companies House?
Resolution
Please review the following six possible causes that may result in the Confirmation Statement being rejected from companies House.
1) “Our records show that this company does not have a principal business activity code”
This occurs when companies have no SIC Codes in Companies House records and do not fill them in when filing their Confirmation statement (CS01).
This applies to companies incorporated after 30th June 2015 and who haven’t submitted an AR01 before the 30th June 2016.
IRIS will carry out validation checks if a SIC code does not exist at Companies House.
2) “Our records show that this company has no information on People with Significant Control”
IRIS will carry out validation checks to ensure the PSC information exists on submission to Companies House.
NOTE: the checks will not be made if the PSC registers are held at Companies House.
3) “The date you became a Person with Significant Control is prior to the date of birth”
Checks will be made when entering a date of birth for a person on a form (CS01/LLCS01 or PSC form) to ensure the date is after the date the PSC became a registrable PSC.
4) “The date of your Confirmation Statement is before your date of incorporation’’
If the date of the Confirmation Statement (CS01/LLCS01) is before the date of incorporation, a warning message will be displayed to allow users to change the date of the Confirmation Statement.
5) “Invalid nationality’’
IRIS will carry out additional checks to ensure the nationality field is populated correctly by comparing the nationality against an ‘official’ list of nationalities.
NOTE: IRIS does not cater for dual nationalities.
6) “The company name and number you have supplied do not match our records. Please check your certificate”
When submitting any document to Companies House the name and number check will be performed. If a difference is noted, a warning message will be displayed.
